Inhouse Legal Counsel (m/f/d) - Projects in Frankfurt / Main area or Barcelona

The Chairman’s Office Europe and North Africa (COE) is supporting and coordinating our operating units, R&D centres, and representative offices across Europe and North Africa with corporate functions and services. Your tasks.

Provide legal advice and support on matters relating to any of the following: Internal transversal projects, M&A (buy side), operational matters and corporate-related matters
Draft, analyze and review contracts and other legal documentation such as NDAs, operational agreements, share / asset purchase agreements, JV agreements, etc. and support respective negotiations
Support the review, preparation and execution of offers and related documentation for M&A projects
Coordinate and lead legal due diligence, support the coordination/execution of legal pre-closing or post-closing conditions, and coordinate the legal workstream in the integration of newly acquired companies into the Group in relation to M&A
Liaise with external counsel and coordinate external legal support in relation to internal transversal projects / M&A or any other matters where external support is needed
Work together closely with other support functions including M&A, Strategy, Finance, Tax, Insurance, and operational teams
Support the COE Legal Affairs team on administrative and any other assigned matters

Your profile.

Fully qualified lawyer, preferably in an EU country
Deep knowledge in EU law. Familiar with local and international corporate laws and regulations
Ideally initial experience in a similar role for about 2 / 3 years
Experienced in an international working environment. Ability to establish and maintain good working relationships within a multicultural environment
Flexibility, team spirit, ability to work under pressure
Good negotiation, communication, and presentation skills
Fluent English and any EU language (German is a plus)
